Terms of Service and Software Subscription Terms

Terms of Service

General legal draft. This page is written for SchemaGrove’s current product and commerce setup. It should be reviewed by qualified counsel and supplemented with the operator’s legal name and mailing address before paid sales open.

These Terms of Service and Software Subscription Terms (the “Terms”) govern access to schemagrove.com, SchemaGrove Lite, SchemaGrove Pro, official downloads and updates, licensing services, support, and related services (collectively, the “Services”). “SchemaGrove,” “we,” “us,” and “our” refer to the business operating SchemaGrove and schemagrove.com.

1. Acceptance and eligibility

By visiting our website, creating an account, placing an order, activating a commercial entitlement, downloading SchemaGrove Pro, or using the Services, you agree to these Terms and our Privacy, Refund, and Support Policies. If you act for a company, client, or other organization, you represent that you have authority to accept these Terms for it. You must be at least 18 years old or the age of legal majority where you live and legally able to enter a binding agreement.

2. Accounts and credentials

A customer account is required to purchase a subscription, access protected downloads, manage billing, and obtain a Product Order API Key. You agree to provide accurate information, keep it current, protect account and license credentials, and promptly report unauthorized access. A Product Order API Key is a credential for SchemaGrove’s commercial services. Do not publish, sell, or share it outside the account and client-use scope covered by your plan.

3. Open-source software

SchemaGrove Lite and SchemaGrove Pro are distributed under the GNU General Public License, version 2 or later (GPL-2.0-or-later). Nothing in these Terms limits rights granted directly under the GPL for covered software code. A paid subscription purchases access to official Pro downloads, private updates, support, connected services, and a production-site activation allowance. Those commercial services and confidential credentials are distinct from the GPL rights applying to the software code. Third-party components remain governed by their own licenses.

All paid plans include the complete SchemaGrove Pro feature set. Plans differ by production-site allowance, client-site usage, and support priority as described at purchase. Local, development, and staging installations do not consume a production activation when accurately identified and recognized by the licensing service. A public production site is not exempt merely because it is labeled “staging.” Organizations needing more than 25 production sites should contact us for a custom plan.

5. Annual billing and renewal

SchemaGrove Pro subscriptions are billed annually. By completing an automatically renewing purchase, you authorize SchemaGrove and its payment processor to charge the associated payment method for the displayed initial amount and then the displayed annual renewal amount on each renewal date until cancellation.

The introductory first-year price is available once per customer across the SchemaGrove Pro plan family. Renewals, failed-renewal payments, resubscriptions, and plan switches use normal subscription pricing and do not receive another introductory discount. Applicable taxes may be added at checkout. If pricing for a future subscription period changes, we will provide notice when required by law.

Payments are processed by Square. Square’s terms and privacy practices apply to its processing.

6. Cancellation, failed payments, and plan changes

You may cancel automatic renewal through My Account or by emailing support@schemagrove.com. Cancellation stops future renewal charges and ordinarily takes effect at the end of the paid period unless a refund is issued or law requires otherwise. Removing a payment method, deactivating a site, or ceasing use does not by itself cancel a subscription.

If payment fails, the subscription may be placed on hold while recovery is attempted. Commercial updates, support, protected downloads, and connected entitlements are suspended while a subscription is on hold, cancelled, expired, refunded, or otherwise ineligible.

An upgrade may charge the prorated recurring-price difference for the remaining period. A downgrade ordinarily takes effect for the next period and does not create a mid-cycle refund unless required by law or stated at checkout. A downgrade that leaves too many active production sites may suspend commercial update access until enough activations are released.

7. Refunds

Eligible initial payments, renewal payments, and paid plan-switch charges may be refunded within 30 calendar days under our Refund Policy. Cancelling a subscription does not automatically request a refund. A completed full refund may end the related subscription and commercial entitlements immediately.

8. After a subscription ends

Ending a subscription does not remotely uninstall SchemaGrove Pro, erase saved configuration, or remove existing schema output. The installed version and saved configuration remain, subject to technical compatibility and the GPL. Official Pro updates, protected downloads, support, and connected or separately entitled paid services stop until commercial entitlement becomes active again. Continuing to run an outdated version may create security or compatibility risks.

9. Updates and compatibility

We may release fixes, security updates, compatibility updates, maintenance changes, and feature changes. We do not promise that every feature, integration, third-party API, or compatibility path will remain available indefinitely. SchemaGrove Pro requires compatible versions of SchemaGrove Lite, WordPress, PHP, and applicable integrations. Current requirements are published with each release.

10. Customer responsibilities

You are responsible for maintaining backups; testing material changes on staging when practical; running a secure and supported WordPress environment; reviewing generated schema, recommendations, and automation before publication; ensuring authority to process content through optional integrations; and complying with laws applicable to your website and business. You retain ownership of content and configuration you create or import, subject to third-party rights.

11. Optional external services

Optional integrations may connect directly from a customer’s WordPress site to third-party services using credentials supplied by that customer. Google Search Console access is read-only and administrator initiated. The optional OpenAI provider is disabled by default and requires configuration, separate data-sharing consent, and an explicit analysis request. Third-party providers control their services, availability, pricing, processing, and policies.

12. No outcome guarantee

SchemaGrove provides structured-data tools, validation, diagnostics, evidence, automation, and advisory features. It does not guarantee rankings, traffic, rich-result display, indexing, crawling, citation, AI-agent consumption, regulatory compliance, or any business result. Advisory output should be reviewed by a qualified person. SchemaGrove is not legal, tax, accounting, security, or individualized SEO advice.

13. Acceptable use

You may not use hosted Services to violate law or third-party rights; access another customer’s account, credentials, downloads, or private data; attack, overload, scrape, probe, or disrupt licensing, download, checkout, or support systems; evade production limits by misrepresenting an environment; distribute malicious code; or use support channels fraudulently or abusively. These restrictions apply to our accounts and hosted services and do not limit GPL rights in the software.

14. Intellectual property

The GPL governs covered SchemaGrove software code. SchemaGrove names, logos, trade dress, website copy, and non-software brand assets remain protected by applicable trademark, copyright, and other law except where an applicable open-source license states otherwise. Purchase and the GPL do not grant a right to use SchemaGrove trademarks or imply endorsement.

15. Suspension and termination

We may suspend or terminate hosted-service access for material breach, fraud, unauthorized credential use, attacks, unlawful activity, nonpayment, or conduct threatening customers or systems. Where reasonably possible, we will provide notice and an opportunity to correct the issue. Termination of hosted services does not revoke GPL rights already granted for software lawfully received.

16. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and warranties arising from course of dealing or usage. We do not warrant uninterrupted, error-free, secure, or universal compatibility. Nothing here excludes a warranty or consumer right that applicable law does not permit us to exclude.

17. Limitation of liability

To the maximum extent permitted by law, SchemaGrove and its owners, personnel, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, traffic, data, goodwill, or business interruption. Total liability arising from the Services will not exceed the amount paid to SchemaGrove during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law.

18. Disputes and applicable law

Before filing a claim, both sides agree to attempt a good-faith resolution through the contact below. These Terms are governed by the law applicable to the place where SchemaGrove is legally established, without overriding mandatory consumer protections or forum rights. Nothing prevents either party from seeking urgent injunctive relief or using an appropriate small-claims court.

19. Changes and general provisions

We may update these Terms for changes in law, products, or operations. The updated date will appear above, and material changes affecting an active subscription will receive notice when required. If a provision is unenforceable, the remainder remains effective. Failure to enforce a provision is not a waiver.
